By accessing or using VER2's services, website, platform, or any other offerings (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services.

We may update these Terms of Service from time to time. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms of Service.

VER2 provides AI integration services, consulting, and platform solutions to help organizations implement, optimize, and manage artificial intelligence systems. Our Services include:

• AI integration consulting and implementation
• Platform solutions for AI management
• AI assessment and strategy development
• Performance monitoring and optimization
• AI security and compliance solutions
• Human capital strategy for AI implementation
• Educational resources and guidance

Some of our Services require you to create an account. When you register for an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, outdated, or incomplete, or if we believe you have violated these Terms of Service.

4.1 VER2's Intellectual Property. All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, are owned by VER2, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4.2 Limited License. Subject to these Terms of Service, VER2 grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes.

4.3 Restrictions. You may not:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Services
• Use the Services for any commercial purpose without our prior written consent
• Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code for the Services
• Remove any copyright, trademark, or other proprietary notices from the Services

5.1 User Content. You may be able to upload, submit, store, send, or receive content through our Services ("User Content"). You retain ownership of any intellectual property rights that you hold in that User Content.

5.2 License to VER2. When you upload, submit, store, send, or receive User Content to or through our Services, you give VER2 a worldwide license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, publicly display, and distribute such User Content solely for the purpose of providing and improving the Services.

5.3 Prohibited Conduct. You agree not to use the Services to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of others
• Transmit any material that is defamatory, offensive, or otherwise objectionable
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Attempt to gain unauthorized access to the Services, other accounts, computer systems, or networks
• Collect or store personal data about other users without their consent

6.1 Confidential Information. In the course of using our Services, you may have access to confidential information, including proprietary information, know-how, and trade secrets ("Confidential Information"). You agree to:

• Maintain the confidentiality of all Confidential Information
• Use Confidential Information only for the purpose of using the Services
• Not disclose Confidential Information to any third party without our prior written consent

6.2 Exceptions. The obligations of confidentiality do not apply to information that:

• Is or becomes publicly known through no fault of yours
• Was rightfully known to you before receipt from us
• Is rightfully received by you from a third party without restriction on disclosure
• Is independently developed by you without use of Confidential Information

7.1 Fees. Some of our Services require payment of fees. All fees are in U.S. dollars and are non-refundable unless otherwise specified. We reserve the right to change our fees at any time with notice to you.

7.2 Billing. If you provide credit card or other payment information, you represent and warrant that the information is accurate and that you are authorized to use the payment method. You agree to promptly update your account information with any changes.

7.3 Taxes. You are responsible for all taxes associated with your use of the Services, except for taxes based on VER2's net income.

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

VER2 does not warrant that:

• The Services will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• The Services are free of viruses or other harmful components
• The results of using the Services will meet your requirements

In no event shall VER2, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall VER2's total liability to you for all claims exceed the amount paid by you, if any, for accessing or using the Services during the twelve (12) months preceding the claim.

You agree to defend, indemnify, and hold harmless VER2, its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with:

• Your access to or use of the Services
• Your violation of these Terms of Service
• Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right
• Any claim that your User Content caused damage to a third party

11.1 Termination by You. You may terminate your account and these Terms of Service at any time by contacting us and ceasing all use of the Services.

11.2 Termination by VER2. We may terminate or suspend your account and these Terms of Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms of Service.

11.3 Effect of Termination. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms of Service which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12.1 Governing Law. These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

12.2 Dispute Resolution. Any dispute arising from or relating to these Terms of Service or the Services shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted by a single arbitrator, and the award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Waiver of Class Actions. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13.1 Entire Agreement. These Terms of Service constitute the entire agreement between you and VER2 regarding the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the Services.

13.2 Waiver. No waiver of any term of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term, and VER2's failure to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

13.3 Severability. If any provision of these Terms of Service is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

13.4 Assignment. You may not assign these Terms of Service without VER2's prior written consent. VER2 may assign these Terms of Service without restriction.

13.5 Force Majeure. VER2 shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, civil unrest, government action, labor disputes, or power failures.
